Terms of Service

Effective July 20, 2026

Digital Nocturne is a sole proprietorship operated by Ryan Wilson, based in Dallas, TX. These terms govern any engagement between Digital Nocturne (we, us) and a client (you) for the services described below.

Services

Digital Nocturne provides technical SEO, Generative Engine Optimization (GEO), Google Ads management, web development, GA4 and GTM analytics setup, and related marketing consulting services.

Scope of Work

No work begins until scope is agreed in writing, whether by proposal, statement of work, or written email confirmation. Written scope governs the engagement, including deliverables, timeline, and fees.

Fees and Payment

Engagements are billed as flat project fees or monthly retainers, as agreed in writing. Invoices are due on the terms stated in the proposal or invoice. Retainers run month to month and can be ended by either party with 30 days written notice. Late payment may pause active work until the account is current.

Client Responsibilities

To do the work well and on schedule, we need you to provide timely access to accounts and systems such as analytics, ad platforms, and your website or CMS, respond to requests for approvals or feedback in a reasonable time, and pay invoices on time. Delays on your end may extend timelines accordingly.

Deliverables and Intellectual Property

Deliverables created for you, including site builds, creative assets, written content, and campaign structures, become your property once full payment is received. Until then, they remain the property of Digital Nocturne. We retain the right to reference completed work in our own portfolio and marketing unless you request otherwise in writing.

No Guarantee of Results

Digital Nocturne does not guarantee specific search rankings, traffic levels, conversion rates, ad performance, or inclusion or citation in AI systems like ChatGPT or Google's AI Overviews. Search engines and AI platforms change their algorithms and behavior constantly and are outside our control. We commit to sound strategy, honest reporting, and real effort, not promised outcomes.

Limitation of Liability

To the extent permitted by law, Digital Nocturne's total liability for any claim arising from an engagement is limited to the fees you paid in the three months prior to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Termination

Either party can end a retainer engagement with 30 days written notice. Project-based engagements can be ended by either party in writing; you're responsible for fees for work completed through the termination date.

Governing Law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Dallas County, Texas.

Changes to These Terms

We may update these terms occasionally. The effective date at the top will always reflect the latest version. Material changes will be communicated to active clients directly.
